By using the Site you confirm you are at least 21 years old and have the legal capacity to be bound by these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

Amino Cove products and services are reserved for qualified researchers, laboratory professionals, and organizations engaged in legitimate scientific work. We may approve or refuse any customer or order at our sole discretion and may request proof of research credentials at any time. If verification isn't satisfactory, we may cancel the order or close the account.

Every item sold by Amino Cove is intended solely for laboratory research. Nothing we sell or publish has been evaluated by the FDA. By ordering you acknowledge that:

• Products are for in-vitro research and laboratory use only
• Products are not for human or animal consumption, diagnostic, or therapeutic purposes
• Products are not intended to diagnose, treat, cure, or prevent any disease
• Nothing on the Site is medical advice, dosing guidance, or a recommendation for human or animal use
• You will comply with all applicable local, state, and federal laws related to research chemicals
• You are a qualified researcher or purchasing for legitimate research purposes

You may register an account to place orders and track shipments. You're responsible for keeping your credentials secure and for any activity on the account, and you agree to keep the information you provide accurate and current.

• You agree to pay all charges at the prices in effect when the order is placed
• You authorize us to charge your payment method for the full amount
• All orders are subject to acceptance and product availability
• We may refuse or cancel any order for any reason
• Prices may change without notice

We ship within the United States. Delivery windows are estimates only and never guaranteed. Risk of loss and title pass to you once the carrier takes possession. We are not liable for delays caused by carriers, customs, or other events outside our control.

Our full policy is on the Returns & Refunds page. In short: we offer one-time replacements for products damaged in transit only, with photo evidence, subject to review, and limited to one replacement per customer per order. Reconstituted items are not eligible. We do not issue refunds for change of mind, dissatisfaction, or misuse, and we are not responsible for improper storage, handling, or reconstitution after delivery.

All Site content — text, graphics, logos, images, and software — belongs to Amino Cove or its licensors and is protected by intellectual property laws. You may not copy, distribute, modify, or create derivative works from it without our written permission.

You agree not to:

• Use the Site for any unlawful purpose
• Misrepresent your identity or affiliation
• Disrupt or interfere with the Site or its servers
• Attempt to gain unauthorized access to any part of the Site
• Scrape or automate access to the Site
• Resell products without our written authorization
• Use products in a way inconsistent with their intended research purpose
• Discuss, promote, or engage in any practice of human or animal dosing of products purchased from Amino Cove — through the Site, customer communications, or any other channel
• Market, label, or represent any product as suitable for human consumption, therapeutic use, or veterinary application

Any breach of the above — particularly anything involving dosing — may result in immediate account termination, cancellation of pending orders, and a permanent ban from Amino Cove, at our sole discretion.

Amino Cove may suspend or terminate your account and refuse current or future use of the Site at any time, for any reason, at our sole discretion. This includes breaches of these Terms, suspected misuse of products, failure to verify research credentials, or any behavior we consider harmful to the business, other customers, or the integrity of our operations. Termination does not release you from obligations under these Terms, including indemnification.

Amino Cove may operate an affiliate or referral program (the "Program"). By participating you agree that:

• Eligibility, commission rates, qualifying purchases, and payout thresholds are set by Amino Cove and may change or be revoked at any time without notice
• Payouts may be delayed, withheld, or forfeited if we determine, at our sole discretion, that Program terms have been broken or that referral activity is fraudulent, misleading, or otherwise inconsistent with these Terms
• We may suspend or terminate your participation at any time, and any unpaid commissions may be forfeited
• You are fully responsible for all advertising, content, claims, and representations you make in connection with the Program. Amino Cove does not endorse affiliate content, and all affiliate content must comply with these Terms — including the prohibitions on health claims, dosing information, and any implication of human or animal use
• You must comply with all applicable laws, including FTC disclosure rules. Affiliate links and promotions must never suggest products are intended for human consumption, therapeutic use, or anything other than laboratory research
• You will indemnify and hold Amino Cove harmless from any claims, damages, or liabilities arising from your affiliate activity, including any content or representations you make

We may modify, suspend, or discontinue the Program at any time without notice. Continued participation constitutes acceptance of any changes.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR PURCHASE, POSSESSION, HANDLING, STORAGE, AND USE OF ANY AMINO COVE PRODUCT IS AT YOUR SOLE AND EXCLUSIVE RISK. AMINO COVE SELLS RESEARCH CHEMICALS INTENDED SOLELY FOR IN-VITRO LABORATORY USE. BY PURCHASING ANY PRODUCT YOU VOLUNTARILY ASSUME ALL RISK, INCLUDING RISKS FROM IMPROPER STORAGE, HANDLING, CONTAMINATION, DEGRADATION, MISUSE, OR ANY APPLICATION OF THE PRODUCT TO ANY HUMAN OR ANIMAL. YOU WAIVE ALL CLAIMS AGAINST AMINO COVE ARISING FROM YOUR USE OR MISUSE OF PRODUCTS TO THE FULLEST EXTENT PERMITTED BY LAW.

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AMINO COVE DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY ARISING FROM COURSE OF DEALING OR TRADE. WE DO NOT WARRANT THAT: (A) PRODUCTS WILL MEET YOUR RESEARCH REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT; (B) PRODUCT QUALITY, PURITY, OR COMPOSITION WILL REMAIN UNCHANGED AFTER DELIVERY; (C) ANY INFORMATION OR REFERENCES ON THE SITE ARE COMPLETE, ACCURATE, OR CURRENT; OR (D) THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. CERTIFICATES OF ANALYSIS REFLECT TESTING AT THE TIME OF ANALYSIS AND ARE NOT A WARRANTY OF FITNESS FOR ANY SPECIFIC APPLICATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINO COVE AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, PURCHASE OF PRODUCTS, OR ANY ACTIONS TAKEN BASED ON SITE INFORMATION — INCLUDING PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER LOSSES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED WHAT YOU PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM. THIS LIMIT APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Amino Cove and its owners, officers, directors, employees, agents, and affiliates (the "Indemnified Parties") from all claims, demands, actions, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use, misuse, or handling of any Amino Cove product — including any personal injury, illness, death, or property damage caused by administering, injecting, ingesting, or applying products to any human or animal
• Any statements, claims, or advice you make regarding Amino Cove products — including health claims, weight-loss claims, therapeutic benefits, dosing recommendations, or instructions for human or animal use
• Any advertising, marketing, social content, reviews, or promotional material you create referencing Amino Cove products, whether as a customer, affiliate, or otherwise
• Any breach of these Terms, including the prohibited conduct in Section 9
• Any violation of laws, regulations, or third-party rights connected to your purchase, possession, use, or distribution of products
• Any regulatory action, investigation, or enforcement proceeding against Amino Cove caused by your actions, statements, or use of products

This obligation survives account termination and these Terms. Amino Cove may assume exclusive defense and control of any indemnified matter at your expense, and you agree not to settle any such matter without our prior written consent.

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

• Binding arbitration. Any dispute arising out of these Terms, your use of the Site, or products purchased from Amino Cove will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator in the State of New Jersey.
• Class action waiver. YOU AGREE ANY DISPUTE WILL BE HANDLED ON AN INDIVIDUAL BASIS ONLY — NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION AGAINST AMINO COVE.
• Small-claims exception. Either party may bring an individual small-claims action within that court's jurisdictional limits.
• Injunctive relief. Amino Cove may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or prevent irreparable harm.

By accepting these Terms you acknowledge that you are waiving the right to a jury trial and to participate in a class action.

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Where litigation is permitted, it will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their personal jurisdiction.

We may update these Terms at any time. Changes take effect when posted. Continued use of the Site constitutes acceptance of the updated Terms — please check periodically.

If any provision is held invalid or unenforceable, the remaining provisions stay in full effect.

Our failure to enforce a right or provision does not waive that right or provision. Any waiver must be in writing and signed by Amino Cove.

These Terms, together with our Privacy Policy and any other referenced policies, are the entire agreement between you and Amino Cove regarding the Site and your purchases, and supersede all prior communications. No statement by any Amino Cove employee, agent, or representative modifies these Terms unless included in a written amendment signed by an authorized officer of Amino Cove.

When you create an account, place an order, sign up for messages, or otherwise use the Site, you provide information about yourself and your activity ("Your Information"). This may include identifiers (name, email, mailing address, phone), order and purchase history, payment metadata (excluding full card numbers), device and browsing data, IP address, location derived from IP or shipping address, communications with us, affiliate referral data, loyalty data, and inferences drawn from any of the above.

You grant Amino Cove a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to collect, store, use, process, analyze, combine, disclose, share, transfer, license, monetize, and otherwise exploit Your Information for any lawful purpose, including:

• Operating, securing, improving, and personalizing the Site, products, and services
• Fulfilling orders, processing payments, providing support, and meeting legal duties
• Sending transactional, account, service, marketing, and promotional messages from Amino Cove, our Affiliates, our successors and assigns, and any related enterprise now operated by or later formed, acquired by, or partnered with any of the foregoing
• Creating aggregated, de-identified, anonymized, or otherwise derived data sets, which Amino Cove owns outright and may use, license, transfer, or commercialize without restriction
• Training and improving statistical, analytical, machine-learning, and AI models — whether operated by Amino Cove, our Affiliates, or our service providers
• Conducting research, analytics, forecasting, segmentation, fraud prevention, and risk-scoring
• Sharing Your Information with Affiliates, successors, service providers, processors, payment providers, carriers, advertising and analytics partners, and other parties acting on our behalf
• Transferring Your Information, along with your rights and obligations under these Terms, to any acquirer, investor, lender, successor, or other party in connection with any merger, acquisition, reorganization, sale of assets, financing, bankruptcy, or similar transaction

"Affiliates" means any entity, brand, product line, or business now or later directly or indirectly controlling, controlled by, or under common ownership or management with Amino Cove, regardless of legal form, jurisdiction, industry, or operating name — and includes parents, subsidiaries, sister entities, joint ventures, and successor entities. Sharing Your Information with an Affiliate for the purposes described here is an internal use within a common enterprise and is not a sale of personal information under applicable consumer-privacy law.

You expressly consent to receive marketing and promotional communications from Amino Cove, our Affiliates, and our successors by email, SMS (subject to Section 23), push notification, postal mail, in-app message, or any other channel for which you have provided contact information. Consent to marketing is not a condition of purchase. You may opt out of marketing anytime via the unsubscribe link in any marketing email or by replying STOP to any marketing text; transactional and service messages will continue.

Depending on your state you may have additional rights under applicable consumer-privacy laws — the scope and how to exercise them are described in our Privacy Policy. Nothing in these Terms limits or waives any right that applicable law makes non-waivable.

The licenses, consents, and authorizations in this Section survive account termination and these Terms. If any part of this Section is unenforceable in any jurisdiction, the remainder stays in full force to the maximum extent allowed.

General. When you opt in, we send a confirmation message. By opting in you agree to receive recurring automated marketing and informational text messages from Amino Cove. Automated messages may be sent via an automatic telephone dialing system to the mobile number you provided or any number you designate.

Message frequency varies. We may adjust the frequency, short code, phone number, or alphanumeric sender at any time. Standard message and data rates may apply — check with your mobile provider. Your carrier is not liable for delayed or undelivered messages, and consent to marketing messages is not a condition of purchase.

Cancellation. Reply STOP or use the unsubscribe link in any message. We'll send confirmation and stop sending marketing texts. Sign up again anytime to re-enable.

Support. Email support@aminocove.co or reply HELP (where supported) for unsubscribe instructions.

Transfer of number. Before changing or transferring your mobile number, reply STOP from the original number, use the unsubscribe link, or notify us at support@aminocove.co. Informing us is a condition of receiving messages.

Privacy. See our Privacy Policy for how we handle your data.

Changes. We may change or end the messaging program at any time, and may update these Messaging Terms — changes take effect immediately upon posting. If you don't agree, cancel enrollment. Continued enrollment constitutes acceptance.
